About Director Disqualification & DIN Reactivation
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
Under Section 164(2), a director of a company that has not filed its financial statements or annual returns for three continuous financial years is disqualified for five years from being reappointed there or appointed in any other company. Separately, a DIN is deactivated if annual DIR-3 KYC isn't filed; it is reactivated by filing the KYC with the late fee. The remedy for disqualification usually starts with bringing the defaulting company's filings up to date.
Disqualification often hits directors who forgot about a dormant or abandoned company. The MCA marks the DIN, and the director can't be appointed elsewhere — which can derail a new venture or a board seat.
The path out depends on facts: completing the overdue filings, closing the defaulting company properly, and in some cases approaching the NCLT or High Court. A deactivated DIN for missed KYC is simpler: file DIR-3 KYC with the fee.
