About One Person Company Registration
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
An OPC suits a solo founder who wants limited liability and the credibility of a company without bringing in a second shareholder. It is treated as a private company for most purposes, but with relaxations: no AGM, an abridged annual return, and only two board meetings a year.
The trade-offs: you can't add equity investors without converting to a private limited company, and compliance is still that of a company — a yearly audit, AOC-4 and MGT-7A, and an income-tax return at company rates.
We check whether an OPC is right for you or whether a proprietorship or private limited company fits better, then handle the incorporation and the nominee's consent.
A One Person Company has a single member who must be an Indian citizen — resident or NRI since 2021 — plus a nominee who takes over if the member dies. It is incorporated through SPICe+ like a private company, has no minimum capital, and since 2021 there's no turnover or capital limit forcing conversion. An OPC can't carry on NBFC activities, and a person can be a member of only one OPC.
| Member | One natural person, an Indian citizen (resident or non-resident) |
|---|---|
| Nominee | Required; consents at incorporation |
| Minimum capital | None |
| Restrictions | No NBFC activity; one OPC per person |
| Annual filings | Audit, AOC-4 within 180 days of year-end, MGT-7A, ITR-6 |
| Conversion | Voluntary at any time; no forced conversion since 2021 |
