About OPC Annual Compliance
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
A One Person Company must have its accounts audited every year, file its financial statements in AOC-4 within 180 days of the year-end (by 27 September), file the abridged annual return MGT-7A, hold at least one board meeting in each half of the calendar year with a 90-day gap, and file ITR-6 by 31 October. It doesn't hold an AGM, and its director files DIR-3 KYC where required.
OPCs get a lighter regime than other private companies — no AGM, abridged annual return, fewer board meetings — but the statutory audit and the core filings remain, and the late fee on MCA forms is charged per day.
We keep the books, coordinate the audit, prepare board minutes for the two meetings, and file AOC-4, MGT-7A and the income tax return on a fixed schedule.
