About Proprietorship
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
A sole proprietorship isn't a separate legal entity, so there's no single registration to 'create' it. It is established through registrations in the owner's name — Udyam (MSME), GST, Shops & Establishment or a trade licence — which banks accept as proof when opening a current account. The owner pays tax at individual slab rates and is personally liable for the business's debts.
Most small businesses in India start as proprietorships: a shop, a consultancy, a freelancer, a home-based business. There's no minimum capital and no annual MCA filing, and the owner keeps full control.
Because the law doesn't recognise the business separately, everything rests on registrations. Banks generally ask for two documents in the business name to open a current account, and customers may ask for a GSTIN or Udyam certificate before paying invoices.
We work out which registrations you actually need, get them done in the right order, and set you up for tax — often under presumptive taxation, which lets small businesses declare a fixed percentage of turnover as profit without detailed books.
| Legal status | Not separate from the owner; unlimited personal liability |
|---|---|
| Common registrations | Udyam, GST, Shops & Establishment, trade licence |
| Bank account | Usually two registrations in the business name |
| Tax | Owner's individual slab rates (ITR-3, or ITR-4 under presumptive taxation) |
| Presumptive tax | 6% of digital turnover / 8% of cash turnover for eligible businesses (Section 44AD) |
