About Joint Venture Agreement
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
A joint venture can be contractual (parties cooperate under an agreement) or an equity JV (a new company owned by the partners). Equity JVs need a shareholders' agreement covering capital, board control, reserved matters, deadlock resolution, transfer restrictions and exit — and, where a foreign partner invests, compliance with FDI rules and FC-GPR reporting.
Most JV failures come from unresolved deadlock and unclear exits. We draft mechanisms such as escalation, chairman's casting vote or buy-sell options, and align the articles of the JV company with the agreement.
We also look at tax: where profits will be taxed, transfer pricing on dealings between the JV and its parents, and dividend taxation on the way out.
| Forms | Contractual JV or equity JV company |
|---|---|
| Core terms | Capital, control, reserved matters, deadlock, exit |
| Foreign partner | FDI route and FC-GPR |
| Articles | Must reflect the JV agreement |
