About Convert Private Company to Public Company
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
A private company becomes public under Section 14 of the Companies Act by passing a special resolution, altering its articles to remove the private-company restrictions on share transfer and member numbers, increasing members to at least seven and directors to at least three, and filing MGT-14 and Form INC-27. The Registrar issues a fresh certificate with the name ending in 'Limited'.
Companies usually convert ahead of an IPO, when the number of shareholders is set to exceed 200, or when a regulator or large customer requires a public company. Conversion brings stricter rules on loans to directors, related-party transactions, managerial remuneration and, above thresholds, independent directors and committees.
The reverse — public to private — needs the special resolution plus approval of the Central Government through the Regional Director, and is examined for the interests of creditors and minority shareholders.
