About Internal Audit
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
An internal audit is only useful if it focuses on where money can be lost: procurement and vendor payments, inventory, payroll, revenue and discounts, and access to systems.
We agree a risk-based plan with management, test controls and transactions each quarter, report findings with practical fixes, and follow up until they're closed.
Section 138 of the Companies Act requires an internal audit for listed companies, unlisted public companies above set size limits, and private companies with turnover of ₹200 crore or more or borrowings of ₹100 crore or more. Many smaller businesses run one voluntarily to catch leakage in purchases, payroll and revenue. The board decides the scope and the auditor, who can be a CA, a CMA or another professional.
| Mandatory (private companies) | Turnover ≥ ₹200 crore or borrowings ≥ ₹100 crore |
|---|---|
| Mandatory (other) | Listed companies and larger unlisted public companies |
| Who can be the auditor | CA, CMA or other professional decided by the board |
| Frequency | Usually quarterly or half-yearly |
