About US State Annual Reports & Franchise Taxes
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
Each US state requires annual or biennial reports and fees to keep a company in good standing — for example Delaware's 1 June LLC tax ($400 from tax year 2026) and 1 March corporate franchise tax and report, Wyoming's anniversary-month report, Florida's 1 May report and Texas's franchise tax reports. Missing them leads to penalties, loss of good standing and eventually administrative dissolution.
Founders often discover a lapse only when a bank, investor or marketplace asks for a certificate of good standing. We maintain a calendar for every entity and state, including registered agent renewals.
Where an entity has lapsed, we file the overdue reports and reinstatement.
| Delaware LLC tax | 1 June; $400 from tax year 2026 |
|---|---|
| Delaware corporations | Annual report and franchise tax by 1 March |
| Wyoming | First day of the anniversary month |
| Florida | 1 January–1 May |
| Texas | Franchise tax reports by 15 May |
