About Tax Structuring
A clear overview, in simple terms — what it is, why it matters, and how we handle it.
Cross-border structuring decides where profits are taxed and how money flows: whether to operate in India through a company or LLP, where a holding company sits, and how dividends, royalties and service fees are paid. Indian companies pay about 25% under the concessional regime, dividends to non-residents face 20% TDS unless a treaty lowers it, and GAAR can deny benefits where the main purpose is tax.
Founders and groups often inherit structures that made sense for one fundraise but now cost tax on every rupee repatriated. Others set up offshore companies without the substance needed to defend them — a risk under place-of-effective-management (POEM) and anti-avoidance rules.
We map your current or planned structure, model the tax on profits and on each flow of money, check treaty access and FEMA routes, and recommend changes with the steps and costs to get there.
| Indian company tax | About 25.17% under Section 115BAA |
|---|---|
| Dividends to non-residents | 20% TDS or lower treaty rate |
| GAAR | Can apply where the tax benefit exceeds ₹3 crore |
| POEM | A foreign company managed from India can be taxed as resident |
| FEMA | FDI and ODI routes decide what is permitted |
