# UK Limited Company Formation from India

> A UK private limited company is registered online with Companies House with its name, a UK registered office address, directors, shareholders, people with significant control (PSCs) and articles. Since November 2025, directors and PSCs must verify their identity with Companies House. Non-UK-resident directors are allowed. After incorporation, HMRC sends a Unique Taxpayer Reference, and the company registers for VAT or PAYE if needed.

Indian founders use UK companies to contract with UK and European clients. Banking is usually the slowest step, so we prepare a consistent document pack and business description.

On the Indian side, owning a UK company is an overseas investment needing reporting through your AD bank.

## FAQs

### Do I need to visit the UK to form a company?

No. Formation and identity verification can be completed remotely.

### Will a UK company be taxed in India?

The company is taxed in the UK. If it is effectively managed from India, it risks being treated as Indian-resident under POEM, so board decisions and management should be planned.

### What is a PSC?

A person with significant control — generally anyone holding over 25% of shares or votes or otherwise controlling the company. PSCs are recorded publicly.
