# Memorandum of Understanding (MoU)

> A memorandum of understanding records the parties' shared intentions before a final agreement. Whether it is legally binding depends on its wording, not its title: if it has offer, acceptance, consideration and an intention to be bound, Indian courts can enforce it as a contract. A good MoU states clearly which clauses are binding (confidentiality, exclusivity, costs, governing law) and which are only intentions.

Most MoU disputes start because the parties assumed it was 'just an MoU' while one clause — exclusivity or an advance payment — was in fact binding. We draft the MoU so the binding and non-binding parts are explicit.

MoUs are common for collaborations between companies, academic or CSR partnerships, joint bids, and as a prelude to joint ventures or acquisitions. We also convert them into definitive agreements when the deal firms up.

## FAQs

### Is an MoU enforceable in court?

If it contains the essentials of a contract and shows an intention to create legal relations, yes. If it says it is non-binding and only records intentions, the non-binding parts can't be enforced.

### What is the difference between an MoU and an agreement?

An agreement sets out final, enforceable rights and obligations. An MoU usually records an understanding at an earlier stage, with only some clauses binding.

### Does an MoU need to be registered?

Generally no, unless it creates or transfers an interest in immovable property, in which case registration rules apply.
