# Statutory Registers Maintenance

> Every company must maintain statutory registers at its registered office, including the register of members (MGT-1), directors and key managerial personnel, charges (CHG-7), loans, guarantees and investments (MBP-2), contracts with related parties (MBP-4) and significant beneficial owners (BEN-3). Registers must be updated as events happen and produced for inspection when asked.

Registers are the legal record of who owns and runs the company. Investors, banks and acquirers ask for them in due diligence, and the ROC or auditors can inspect them. Gaps usually surface at the worst time — during a fundraise or a sale.

Many startups never set them up at incorporation. We reconstruct registers from filings, share certificates, board minutes and bank records, then keep them updated as allotments, transfers, director changes and loans happen.

Registers can be kept in electronic form with proper safeguards. For companies whose shares are in demat form, the register of members is reconciled with depository records.

## FAQs

### Where must statutory registers be kept?

At the registered office, unless a special resolution allows the register of members to be kept elsewhere in India. They can be maintained electronically.

### Do investors check statutory registers?

Yes. The register of members and share capital records are core due diligence items in any fundraise or acquisition.

### Can missing registers be prepared now?

Yes. We reconstruct them from filings and documents; any underlying non-compliance found is regularised separately.
