# Convert Private Company to Public Company

> A private company becomes public under Section 14 of the Companies Act by passing a special resolution, altering its articles to remove the private-company restrictions on share transfer and member numbers, increasing members to at least seven and directors to at least three, and filing MGT-14 and Form INC-27. The Registrar issues a fresh certificate with the name ending in 'Limited'.

Practice: Conversions, Changes & Closure — https://www.industax.com/services/business-changes/

Companies usually convert ahead of an IPO, when the number of shareholders is set to exceed 200, or when a regulator or large customer requires a public company. Conversion brings stricter rules on loans to directors, related-party transactions, managerial remuneration and, above thresholds, independent directors and committees.

The reverse — public to private — needs the special resolution plus approval of the Central Government through the Regional Director, and is examined for the interests of creditors and minority shareholders.

## FAQs

### Does converting to a public company mean listing on a stock exchange?

No. An unlisted public company can have any number of shareholders and freely transferable shares without being listed. Listing is a separate process under SEBI regulations.

### Can a public company convert back into a private company?

Yes, under Section 14 with a special resolution and Central Government approval through the Regional Director. The application is advertised, and objections from creditors or members are considered.

### Will the company's PAN and GSTIN change?

No. It remains the same entity; the PAN and GSTIN stay the same, with the name updated.
