# Partnership Firm Dissolution

> A partnership firm is dissolved by agreement of all partners, by notice in a partnership at will, or on events such as insolvency or court order under the Indian Partnership Act, 1932. The partners execute a dissolution deed, settle accounts under Section 48, give notice to the Registrar of Firms and the public, cancel GST and file a final ITR-5. Assets distributed to partners are taxed in the firm's hands at fair market value under Section 9B.

Since the Finance Act 2021, when a firm distributes a capital asset or stock to a partner on dissolution, the firm is treated as having sold it at fair market value (Section 9B). That can create a tax bill even though no cash changed hands, so the distribution plan should be priced before the deed is signed.

A public notice of dissolution protects partners from liability for acts done in the firm's name afterwards. We draft the deed, compute the settlement and tax, cancel registrations and file the final returns.

## FAQs

### Is a dissolution deed compulsory?

The law allows dissolution by agreement, which can be oral, but a written deed is strongly advisable as proof of the date and terms, and banks, the Registrar of Firms and tax authorities usually ask for it.

### Is there tax when a partner takes over the firm's property?

Yes. Under Section 9B the firm is deemed to have transferred the asset at fair market value, and the gain is taxed in the firm's hands in the year of dissolution.

### What happens to the firm's debts?

Under Section 48, firm debts to third parties are paid first, then advances by partners, then partners' capital; any shortfall is borne by partners in their profit-sharing ratio.
