# Business Conversion, Changes & Closure Services

> As a business grows or winds down, its legal form often has to change: a proprietorship or partnership becomes a company to raise capital, a company becomes an LLP to cut compliance, or an inactive entity is closed or made dormant. Each route has its own MCA forms, and the Income-tax Act exempts some conversions from capital gains only if strict conditions are met for the following five years.

## Who this is for

- Proprietors and partners moving to a company or LLP
- Companies converting to an LLP or from private to public
- LLPs and OPCs that need annual filings or partner changes
- Owners closing an inactive LLP or partnership, or reviving a struck-off company

## FAQs

### Is conversion of a company into an LLP taxable?

It is exempt from capital gains under Section 47(xiiib) only if the company's turnover did not exceed ₹60 lakh and its total assets did not exceed ₹5 crore in any of the three preceding years, all shareholders become partners in the same proportion, they keep at least 50% of profit share for five years, and no accumulated profits are paid out for three years. Otherwise the transfer can be taxed.

### Can I close a company that has pending ROC filings?

Not directly. Before applying for strike-off in Form STK-2, the company must file its overdue financial statements and annual returns up to the end of the financial year in which it stopped business. The Companies Compliance Facilitation Scheme 2026 that reduced these fees closed on 31 August 2026.

### What is a dormant company?

A company formed for a future project or holding an asset, or one with no significant accounting transactions in the last two financial years, can apply to the Registrar for dormant status in Form MSC-1. It then files a simple annual return of dormant company (MSC-3) instead of full compliance, for up to five years.
